Your designs, drawings, specifications and other materials remain your property. By sending them to us for evaluation or quotation, you grant us the limited right to review, manufacture and test them for your project. We will not use your designs for anyone else's project.
4. Inquiries and confidentiality
When you submit an inquiry, we will use the information provided to respond with engineering feedback and a quotation. We treat submitted specifications as confidential and share them only with personnel involved in your project. If you require a formal non-disclosure agreement before sharing sensitive designs, we are happy to sign one on request.
5. Quotations, samples and orders
Quotations are valid for the period stated on the quotation and are subject to final confirmation in writing. Sample and production orders are only binding once confirmed by a written order acknowledgement or contract signed by both parties. Prototype lead times, MOQs, tooling costs and unit prices are as stated in the applicable quotation or order acknowledgement.
Engineering or specification changes requested after approval may affect price, tooling and delivery schedule. Such changes take effect only when confirmed in writing by both parties.
6. Payment
Payment terms are set out in the quotation or order acknowledgement (typically bank transfer, with a deposit before production and the balance before shipment unless otherwise agreed). Prices do not include import duties, taxes or customs clearance charges unless stated.
7. Quality and warranty
We manufacture under an ISO 9001:2015 quality system and perform inspection on every batch. Subject to the warranty terms agreed in writing for a specific order, our products are warranted against defects in materials and workmanship for the warranty period stated in the order acknowledgement. To make a warranty claim, you must notify us in writing with supporting evidence within the warranty period. Our liability for defective products is limited, at our option, to repair, replacement or refund of the price paid for the defective goods. This warranty does not cover damage caused by misuse, modification, improper installation or conditions outside the agreed specification.
8. Shipping and risk
Shipping terms (such as EXW, FOB, CIF or DDP) are as agreed in the quotation or order acknowledgement. Risk transfers according to the applicable Incoterms. Unless otherwise agreed, we are not responsible for delays or costs caused by customs, carriers or events beyond our reasonable control.
9. Limitation of liability
To the maximum extent permitted by law, MembraneSwitchFactory shall not be liable for any indirect, incidental, special or consequential damages, including lost profits or lost business, arising from the use of the Website or from any order, even if advised of the possibility of such damages. Our total liability for any claim relating to an order is limited to the amount you paid for the goods or services giving rise to the claim.
10. Export compliance
Our products and services are subject to the export control laws of the People's Republic of China and the laws of your country. You agree to comply with all applicable export and import regulations.
11. Governing law and disputes
These terms and any orders placed through this Website are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. Any dispute arising from these terms or from an order shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the competent courts of Shenzhen, China, unless the applicable order acknowledgement specifies arbitration.
